Our client wanted to motivate and reward their management team through an employee share scheme. They wanted to implement an Enterprise Management Incentive (EMI) scheme that would provide their team with a valuable stake in the company and ultimately be able to share in the proceeds of any future sale of the company.
We teamed up with the client’s accountants to bring this vision to life. We collaborated closely, combining our legal expertise with their financial and tax knowledge, to advise on the implementation of the scheme.
We supported with all legal aspects of the scheme including the drafting of company articles of association, shareholders’ agreement EMI plan rules and option agreements. We also project-managed the scheme from start-to-finish to ensure that the scheme was completed in a fully compliant manner.
