The purpose of a settlement agreement – formerly known as a compromise agreement – is to legally formalise the termination package of an employee. The effect of the settlement agreement is that the employee waives any rights to bring employment-related claims against their employer in exchange for a termination or compensation payment. Employment-related claims include claims for unfair and wrongful dismissal, statutory redundancy, unpaid wages, notice pay, holiday pay and more. 

To ensure the settlement agreement is legally valid, it is essential that it is drafted carefully to satisfy all legal requirements. One of the requirements is that the employee obtains independent legal advice from a relevant adviser before they sign the agreement. The adviser – usually a solicitor – must sign an adviser’s certificate to confirm that such independent advice has been given.
