We recently acted on our client’s acquisition of a Pharmacy based on a prominent high street in the heart of Sheffield. Our client acquired the entire share capital of the company, which included a leasehold premises from which the business trades. The previous owners were looking to retire and gave our clients the perfect opportunity to start a new venture. We undertook all legal due diligence and negotiated the transaction documentation for the Pharmacy as well as the leasehold property.
We procured the lending for our clients and answered all the Lender’s legal due diligence enquiries, as well as perfected the necessary security in support of the lending – this included a legal charge at HM Land Registry against the Leasehold title.
We also advised our clients on the post-completion requirements to inform the NHS and General Pharmaceutical Council, as regards our client’s applications to take over the Pharmacy and applications for super intendant.
